About Independent Director

An Independent Director (also sometimes known as an outside director or non-executive director) is a director (member) of a board of directors who does not have a material or pecuniary relationship with company or related persons, except sitting fees. An independent director does not represent the interest of contributors, management, stockholders council or board of directors, therefore, they will insist their own minds and basic on the company, independence from the board of directors to bring benefits to all stockholders.

An independent director should own an independent status, follow by valuable understanding and resolution with effectively. If an independent director does not meet the requirement or belong to the main stockholders, then they would not affect the board of directors and become an invalid position.
